Requirements:

  1. Registration of Distributor or Agent of Goods and/or Services appointed by a Foreign Principal:
    • Must have an agreement legalized by a Notary Public and accompanied by a Certificate or legalization from the Trade Attaché of the Republic of Indonesia or an Official of the Representation Office of the Republic of Indonesia in the Principal's country.
    • For the renewal of the Registration Certificate, if the distributor or agent does not make a new agreement with the principal, the old agreement must be accompanied by confirmation from the principal regarding the extension of the agreement, legalized by a Notary Public and accompanied by a Certificate or legalization from the Trade Attaché of the Republic of Indonesia or an Official of the Representation Office of the Republic of Indonesia in the Principal's country.
    • If the agreement is made by the principal supplier, the principal supplier is obliged to have an authorization letter from the principal manufacturer.
    • If the agreement is only written in a foreign language, it must be translated into Indonesian by a Sworn Translator.
    • Must have leaflets/brochures/catalogs from the principal manufacturer for the type of goods and/or services to be marketed.
    • Must make a statement on stamp paper that the goods to be distributed have a valid permit or other registration letter from the technical agency for specific types of goods in accordance with applicable regulations.
  2. Registration of Distributor or Agent of Goods and/or Services appointed by a Domestic Principal:
    • Agreement legalized by a Notary.
    • For the renewal of the Registration Certificate, if the distributor or agent does not make a new agreement with the principal, the old agreement must be accompanied by confirmation from the principal regarding the extension of the agreement, legalized by a Notary.
    • If the agreement is made by the principal supplier, the principal supplier is obliged to have an authorization letter from the principal manufacturer.
    • If the agreement is only written in a foreign language, it must be translated into Indonesian by a Sworn Translator.
    • Attach Business Registration Number and Business License of the principal.
    • Must have leaflets/brochures/catalogs from the principal manufacturer for the type of goods and/or services to be marketed.
    • Must make a statement on stamp paper that the goods to be distributed have a valid permit or other registration letter from the technical agency for specific types of goods in accordance with applicable regulations.
  3. Registration of Sub-Distributor or Sub-Agent of Goods and/or Services:
    • Agreement or Appointment from an agent, sole agent, distributor, or sole distributor that has been legalized by a Notary.
    • Input the valid STP number from the agent or sole agent who appointed you.
  4. Documents for Administrative Changes:
    • Legal documents stating changes in the name of the business/legal entity (notary deed).
    • Documents from the local government stating address changes without a change in location.
    • Legal documents stating changes in the name of the leader/director of the company (notary deed); and/or
    • Legal documents stating changes in the name of the technical responsible person and a new technical responsible person contract with the company's leader/director.

Obligations:

  1. Submit a company activity report every 6 (six) months to the Minister of Trade.
  2. Protect the confidentiality of goods and/or services provided by the Principal.
  3. The agreement made between the Principal and Distributor/Agent must include at least:
    • Names and full addresses of the parties making the agreement.
    • Purpose and objectives of the agreement.
    • Agency or distribution status.
    • Types of goods and/or services agreed upon.
    • Marketing area.
    • Rights and obligations of each party.
    • Authority.
    • Duration of the agreement.
    • Termination procedures for the agreement.
    • Methods for resolving disputes.
    • Applicable laws.
    • Timeframe for dispute resolution.
