PRESIDEN REPUBLIK INDONESIA PERATURAN PEMERINTAH REPUBLIK INDONESIA NOMOR 12 TAHUN 1976 TENTANG PENYERTAAN MODAL NEGARA REPUBLIK INDONESIA UNTUK PENDIRIAN PERUSAHAAN PERSEROAN (PERSERO) DALAM BIDANG INDUSTRI PESAWAT TERBANG PRESIDEN REPUBLIK INDONESIA, Menimbang : a. bahwa untuk memupuk kemampuan nasional dalam bidang perindustrian pesawat terbang dalam rangka pembinaan kekuatan dirgantara nasional, Lembaga Industri Penerbangan Nurtanio pada Departemen Pertahanan Keamanan dan fasilitas lain diberbagai instansi perlu dijadikan suatu badan pelaksana kegiatan industri pesawat terbang; b. bahwa agar pelaksanaan kegiatan industri tersebut pada huruf a dapat berjalan dengan lancar dan berkembang secara wajar berdasarkan kemampuan sendiri, dipandang perlu untuk menentukan bentuk usaha yang sesuai dengan sifat dan bidangnya yakni Perusahaan Perseroan (PERSERO) sebagaimana dimaksud dalam Undang-undang Nomor 9 Tahun 1969; c. bahwa sesuai dengan ketentuan dimaksud dalam Pasal 2 ayat (1) Peraturan Pemerintah Nomor 12 Tahun 1969, penyertaan Negara Republik Indonesia dalam rangka pendirian suatu Perusahaan Perseroan (PERSERO) ditetapkan dengan Peraturan Pemerintah; Mengingat : 1. Peraturan Pemerintah Nomor 24 Tahun 1972 tentang Perubahan atas Ketentuan Pasal 7 Peraturan Pemerintah Nomor 12 Tahun 1969 (Lembaran Negara Tahun 1969 Nomor 21, Tambahan Lembaran Negara Nomor 2894) tentang Perusahaan Perseroan (PERSERO) (Lembaran Negara Tahun 1972 Nomor 32, Tambahan Lembaran Negara Nomor 2987); MEMUTUSKAN : Menetapkan : PERATURAN PEMERINTAH TENTANG PENYERTAAN MODAL NEGARA REPUBLIK INDONESIA UNTUK PENDIRIAN PERUSAHAAN PERSEROAN (PERSERO) DALAM BIDANG INDUSTRI PESAWAT TERBANG. Pasal 1 Negara Republik Indonesia melakukan penyertaan dalam modal saham suatu Perusahaan Perseroan (PERSERO) dalam bidang Industri pesawat terbang. Pasal 2 Maksud dan tujuan Perusahaan Perseroan (PERSERO) termaksud pada Pasal 1, selanjutnya disebut PERSERO, ialah untuk menyelenggarakan pengurusan, pengusahaan, dan pengembangan usaha perindustrian pesawat terbang dan yang sejenis serta usaha perdagangannya dalam arti kata seluas-luasnya. -- 2 of 5 -- PRESIDEN REPUBLIK INDONESIA Pasal 3 (1) Modal PERSERO yang ditempatkan dan disetor pada saat pendiriannya seluruhnya merupakan penyertaan Negara Republik Indonesia sebagai kekayaan Negara yang dipisahkan, ialah : a. bagian kekayaan Negara yang semula berada dibawah pengurusan dan penguasaan Lembaga Industri Penerbangan Nurtanio pada Departemen Pertahanan-Keamanan sebagaimana dimaksud dalam Surat Keputusan Menteri/Panglima Angkatan Udara Nomor 76 Tahun 1966 tanggal 26 Juli 1966 berhubungan dengan Surat Keputusan Menteri/Kepala Staf Angkatan Udara Nomor 488 Tahun 1960 tanggal 1 Agustus 1960 sesuai dengan keadaannya pada tanggal 31 Januari 1976; seperti tercantum dalam Lampiran I Peraturan Pemerintah ini; b. bagian kekayaan PERTAMINA yang semula disediakan untuk pembangunan industri pesawat terbang dalam lingkungan PERTAMINA, dan yang telah diserahkan kepada Negara sesuai dengan keadaannya pada tanggal 31 Januari 1976; seperti tercantum dalam Lampiran 11 Peraturan Pemerintah ini. (2) Nilai dari kekayaan tersebut pada ayat ( 1) sebagaimana yang akan dipergunakan sebagai penyertaan Negara dalam modal saham PERSERO serta besarnya modal dasar dari PERSERO ditetapkan oleh Menteri Keuangan dengan memperhatikan peraturan perundang-undangan yang berlaku. (3) Ketentuan-ketentuan lain mengenai permodalan PERSERO ditentukan dalam Anggaran Dasarnya, termasuk ketentuan mengenai modal dasar PERSERO yang terbagi-bagi atas saham sesuai dengan ketentuan Pasal I Peraturan Pemerintah Nomor 24 Tahun 1972. Pasal 4 … -- 3 of 5 -- PRESIDEN REPUBLIK INDONESIA Pasal 4 Pelaksanaan dari pendirian PERSERO dilakukan menurut ketentuan- ketentuan Kitab Undang-undang Hukum Dagang Stbl. 1847 : 23 sebagaimana telah beberapa kali diubah dan ditambah, terakhir dengan Undang-undang Nomor 4 Tahun 1971, dengan memperhatikan ketentuan-ketentuan yang termaktub dalam Peraturan Pemerintah Nomor 12 Tahun 1969, sebagai- mana telah diubah dengan Peraturan Pemerintah Nomor 24 Tahun 1972. Pasal 5 Dengan memperhatikan ketentuan dalam Pasal 5 dan 6 Peraturan Pemerintah Nomor 12 Tahun 1969, pelaksanaan hal-hal yang berhubungan dengan pendirian PERSERO dilakukan oleh Menteri Keuangan atau dapat dilimpahkannya kepada Menteri Perindustrian dengan disertai hak substitusi, segala sesuatunya sesuai dengan peraturan perundang-undangan yang berlaku. Pasal 6 Hal-hal yang belum diatur dalam Peraturan Pemerintah ini diatur tersendiri. Pasal 7 Peraturan Pemerintah ini berlaku pada tanggal diundangkan.
