PP 8/2021 implements UU 11/2020's reform of corporate-formation rules and introduces the PT Perorangan — Indonesia's single-shareholder limited-liability company for micro and small enterprises. Registration is via AHU Online and bypasses the notary-and-akta path required for standard PTs. The minimum capital is set freely by the founder (no statutory floor; UMK criteria thresholds apply). Eligible only for Indonesian citizens and only for activities meeting the UMK (micro/small) classification. Not available to foreign-owned PMAs. Establishes the corporate vehicle widely used by Indonesian sole proprietors and small business owners as an alternative to CV.     Single-shareholder PT

    PT Perorangan is the only PT type permitted with a single shareholder — designed for solo entrepreneurs as an alternative to CV (commanditaire vennootschap).

    Direct online registration

    Registration via AHU Online bypasses notary and akta — simpler, faster, and cheaper than standard PT incorporation.

  • 03

    UMK eligibility only

    Available only for activities classified as Usaha Mikro and Usaha Kecil under PP 7/2021 thresholds. Not available for medium or large-scale operations.

  • 04

    Indonesian citizens only

    Only Indonesian citizens may incorporate a PT Perorangan. Foreign nationals must use a standard PT (PMA).
